These Terms of Service ("Terms") govern your access to and use of ChatMakky's website, dashboard, and services that let you build and deploy AI agents across messaging channels such as WhatsApp, Instagram, Facebook Messenger, TikTok, and web chat widgets (collectively, the "Service"), provided by ChatMakky ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

2. The Service

ChatMakky lets you configure AI agents, connect messaging and social channels, automate comments and bookings, and build conversational flows. Some features require you to bring your own API keys (e.g. AI providers) or connect third-party accounts (e.g. Meta, TikTok, Google, Stripe); your use of those third-party services is subject to their own terms.

3. Acceptable Use

You agree not to use the Service to:

• ✓ Send unsolicited, deceptive, or spam messages, or violate the messaging policies of connected channels (e.g. WhatsApp, Meta, TikTok).
• ✓ Transmit unlawful, defamatory, abusive, or infringing content.
• ✓ Attempt to reverse engineer, disrupt, or gain unauthorized access to the Service or other users' data.
• ✓ Use the Service to build applications that compete directly with ChatMakky by reselling substantially similar functionality without authorization.
• ✓ Violate applicable data protection, telecommunications, or consumer protection laws.

4. AI-Generated Content

Responses generated by AI agents built on the Service are produced automatically and may be inaccurate or unsuitable in some situations. You are responsible for reviewing, configuring, and monitoring your agents' behavior, and for any decisions made based on AI-generated output.

5. Fees & Billing

Paid plans are billed in advance on a recurring basis unless stated otherwise. Fees are non-refundable except as required by law or as expressly stated at the time of purchase. We may change pricing with prior notice; continued use after a price change constitutes acceptance.

6. Your Content & Data

You retain ownership of the content, data, and conversations processed through your account. You grant ChatMakky a limited license to host, process, and transmit that content solely to provide the Service. See our Privacy Policy for details on data handling.

7. Third-Party Channels & Providers

Availability of channel integrations (WhatsApp, Instagram, Facebook, TikTok, etc.) depends on third parties and may change without notice. We are not responsible for outages, policy changes, or account suspensions imposed by those third parties.

8. Intellectual Property

ChatMakky and its licensors own all rights, title, and interest in the Service, excluding your content. You may not copy, modify, or create derivative works of the Service except as permitted by these Terms.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you violate these Terms, misuse connected channels, or fail to pay applicable fees, with notice where reasonably practicable.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.

11. Limitation of Liability

To the maximum extent permitted by law, ChatMakky will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or related to your use of the Service.

12. Indemnification

You agree to indemnify and hold ChatMakky harmless from claims, damages, and expenses arising from your use of the Service, your content, or your violation of these Terms or applicable law.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date, and continued use of the Service after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by applicable local law, without regard to conflict-of-law principles, unless otherwise required by mandatory law in your jurisdiction.
